INTRODUCTION

TriState Equity Group, LLC (“TriState Equities”) is a New York City based commercial and residential real estate investment and development firm that was founded by Morris Missry and Joseph Edery. Since its inception, TriState Equities has consistently increased the value of its portfolio, which includes commercial, residential and mixed use properties.

Operating through a number of affiliated partnerships, Tristate Equities has developed numerous business opportunities through the purchase and sale of both commercial and residential properties. TriState Equities’ investment strategy focuses on the acquisition of properties in prime locations and hold for the long term.

TriState Equities’ functions in a variety of creative capacities, including the development and redevelopment of office and retail properties. We are committed to the highest level of excellence in its approach to maintaining the quality of its current portfolio while utilizing its sourcing capabilities to achieve its goal for continued growth. The team of professionals assembled by TriState Equities uses a variety of skill sets to expand the company’s holdings while further developing relationships with owners of real property.

Acquisitions & Development

TriState Equities has extensive experience in both residential and commercial acquisitions with a primary focus in SoHo. In 2010 TriState Equities was retained exclusively to consult and transact the Scholastic site fee position at 557 Broadway. We have extensive knowledge and experience in dealing with the nuances in acquiring SoHo real estate including but not limited to co-op boards and complex structures including long term leases, tenant common interests, and acquiring C-Corp stock interests, working with city planning for change of use, and working closely with landmarks.

We have complete in-house capabilities for deal sourcing and analysis, all aspects of equity and debt structuring, design and construction management, leasing and sales supervision, as well as institutional class asset management. Being ‘hands on’ in every detail, we are able to identify, analyze and run opportunities with efficiency and discretion. Our integrated platform and operational expertise enables us to produce above-average risk-adjusted returns.

PROPERTY MANAGEMENT

We work to maintain and increase the value of the properties that we manage. Our team oversees all operations of the properties we own, from day to day maintenance, capital improvements, as well as all financial aspects. We work diligently to select prime tenants at our properties to ensure that rent collection is automatic and undisrupted.

EXECUTIVE TEAM

Morris Missry

Morris Missry, one of the principals of TriState Equities, is a partner, on the Management Committee, and Chairman of the Real Estate Department of Wachtel Missry, LLP, a well-known and highly respected New York law firm. Mr. Missry represents a wide variety of entrepreneurs, private real estate equity funds, corporate clients, not-for-profit entities and individual clients in the acquisition, financing, construction, development and leasing of commercial, residential and mixed-use projects. With over 30 years of experience Mr. Missry has engineered over 1 billion dollars of SoHo real estate transactions, and is known as a deal maker. Mr. Missry is often retained for his expertise in structuring a variety of transactions both domestically and internationally.

Mr. Missry is a Board member and a Founder of SAFE Foundation, Inc., a not for profit organization that was founded to educate, prevent and treat those who are afflicted with the disease of addictive behavior, and is a former member of the Boards of the Brooklyn Public Library and the Brooklyn Public Library Foundation. Mr. Missry has been a panel member and moderator of the “Success Track Program” and the Angel Fund Program which programs caters to the growth and mentoring of high school students. Mr. Missry has been a visiting professor of real estate at Baruch College of the City University of New York and is an Associate Member of The International Council of Shopping Centers.

Joe Edery

Joseph Edery is well known in investment real estate circles as a deal maker. In the last decade, Mr. Edery has amassed
over 500 million dollars worth of investment and development property sales to his credit, spanning every asset class including some high profile transactions in Manhattan and Brooklyn. Some noteworthy sales include the development assemblages for the Landus & Katz acquisition on the corner of 42nd Street & 9th Avenue in Times Square, the sale of the fee position on The Scholastic Building in SoHo, a genius 99 year ground lease at the original Playboy building at 5 East 59th Street, acquired and sold 842 7th Avenue to Extel Development as part of an assemblage, acquired 180 & 182 Broadway off market and crafted a JV with Jeff Sutton from Wharton properties in partnership with SL Green and recently sold it for over $220 Million dollars, plus many other sales and current holdings. Mr. Edery’s dynamic
personality combined with his passion for real estate and in-depth knowledge of the investment & development
property markets results in his unique ability to get the toughest deals and most complex negotiations closed.

Mr. Edery is active outside the office as well with various sports and not for profit organizations, such as SAFE
Foundation, Inc., a not for profit organization that was founded to educate, prevent and treat those who are afflicted
with the disease of addictive behavior.

He currently lives with his family in Brooklyn and serves on several boards including a tech B2B platform that Alibaba
just invested in called Dine Market, that’s realizing unprecedented growth. Mr. Edery was recognized in Forbes
Magazine for his tremendous production in 2003 and awarded with the Entrepreneur of the Year Award by Meg
Whitman, CEO of Ebay.
